Terms of Service

1. Acceptance of Terms

By downloading, installing, or using Bonsai POS ("the Software"), you agree to these Terms of Service. If you do not agree, do not use the Software.

2. License

Bonsai POS grants you a limited, non-exclusive, non-transferable license to use the Software on one (1) computer per license, subject to your active subscription. The Software is licensed, not sold.

3. Subscription & Billing

All plans are billed monthly. Prices are listed on our website and may change with 30 days notice.
A 14-day free trial is available for new customers. No credit card is required to start the trial. After 14 days, you must activate a paid license key to continue using the Software for sales and checkout. Until a valid license key is activated, the Software will enter read-only mode, allowing data access and export but blocking new sales.
Payment processing is handled by Stripe, Inc. By purchasing a subscription, you agree to Stripe's Terms of Service and Privacy Policy.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
Refunds: 14-day money-back guarantee on monthly plans. Annual subscribers may request a prorated refund within 30 days. See our Refund Policy for full details.

4. Your Data

All business data (orders, payments, menus, employees) is stored locally on your machine. You own your data. We do not access, store, or transmit your business data. You are responsible for maintaining your own backups.

5. Acceptable Use

You agree not to:

Reverse engineer, decompile, or disassemble the Software
Share, resell, or redistribute your license key
Use the Software for any unlawful purpose
Attempt to bypass license activation or validation

6. Support

Email support is included with all plans at Nath.bonsai.business@gmail.com. We will make reasonable efforts to respond within 1-2 business days. Priority support is available on Professional and Business plans.

7. Updates

Software updates may be released periodically. The app will notify you when updates are available. Major version upgrades may require an active subscription.

8. Limitation of Liability

Bonsai POS is provided "as is" without warranty of any kind, express or implied. To the maximum extent permitted by law:

We are not liable for any lost revenue, data loss, or business interruption arising from use of the Software.
Our total liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim.
You are responsible for your own business compliance, tax reporting, and data backups.

9. Termination

We may terminate your license if you violate these terms. Upon termination, the Software will enter a read-only state. You will not be able to create new sales, but you may access and export your existing data via the backup feature for 30 days. Your business data remains yours.

10. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

11. Regulatory Compliance

Bonsai POS is a software tool. You are solely responsible for:

Complying with all payment card industry (PCI DSS) standards when using external card terminals
Maintaining accurate sales tax records and filing sales tax returns as required by your jurisdiction
Complying with federal, state, and local labor laws and wage regulations
Obtaining necessary business licenses and permits
Maintaining compliance with local health and safety regulations

Bonsai POS does not process, transmit, or store credit card data. We are not a payment processor and are not subject to PCI DSS requirements.

12. International Privacy Compliance

For users in the EU (GDPR) or California (CCPA), additional privacy rights may apply. Contact us at Nath.bonsai.business@gmail.com to exercise rights to access, deletion, or portability of your personal data. Our data holdings are limited to: email address, name, purchase history, and license records. We do not hold your business data or sales records.

13. Trademarks

"Bonsai POS" and the Bonsai logo are trademarks of Bonsai POS. You may not use our name, logo, or trademarks in your own marketing without written permission.

14. Changes

We may update these terms from time to time. Continued use of the Software after changes constitutes acceptance of the new terms.
